• Vendors: Individuals or entities providing goods or services to BLU, BLU's Customers (including their staff both contracted and on-roll) via BLU. The processing of their personal data is typically necessary for the performance of the contract and may also be based on consent or other lawful grounds as applicable.

• BLU Staff: Employees of BLU. The processing of their personal data is necessary for the performance of their employment contract and our legitimate business interests (under GDPR and PDPA 2012, where applicable) or other lawful grounds.

You represent and warrant that you have all necessary rights to grant this license and that your User-Generated Content does not violate any third-party rights or applicable laws, including data protection laws.

• For transfers subject to PDPA 2012, we will ensure that the standard of data protection in the recipient country is comparable to the protection under the PDPA 2012.

BLU DOES NOT WARRANT THAT THE WEBSITE OR BLU TEC PORTAL WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. This disclaimer does not affect your rights under applicable data protection laws.  

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BLU SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE WEBSITE OR BLU TEC PORTAL, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF BLU HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. This limitation does not apply to liability arising from the unlawful processing of personal data under applicable data protection laws.  

13. Indemnification

You agree to indemnify, defend, and hold harmless BLU, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your breach of this Policy, your use of the Website or BLU TEC Portal, or your User-Generated Content, including any claims related to your violation of data protection laws or the rights of others.  

14. Modifications to the Policy

BLU reserves the right to modify or update this Policy at any time without prior notice. Any changes will be effective immediately upon posting the revised Policy on the Website or BLU TEC Portal. Your continued use of the Website or BLU TEC Portal after the posting of any changes constitutes your acceptance of the revised Policy. We will also update the "Last Updated" date. Where required by applicable data protection laws, such as obtaining fresh consent under PDPA 2012 for significant changes in data processing practices, we will do so. It is your responsibility to review this Policy periodically for updates.  

15. Termination

BLU may, in its sole discretion, suspend or terminate your access to all or any part of the Website or BLU TEC Portal at any time, with or without cause and without prior notice. Upon termination, your right to use the Website or BLU TEC Portal will immediately cease. We will handle any personal data in accordance with our data retention policies and applicable data protection laws upon termination of your access.

16. Governing Law and Dispute Resolution

This Policy shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles. Any dispute arising out of or relating to this Policy or your use of the Website or BLU TEC Portal shall be subject to the exclusive jurisdiction of the courts located in Singapore. This governing law clause is without prejudice to the mandatory provisions of the GDPR for individuals located within the EEA and the mandatory provisions of the PDPA 2012 for individuals located within Singapore.
